Overseas TMS — Terms of Use (End-User License Agreement)

Effective date: October 9, 2026

• Who may use it. Overseas TMS is proprietary software of Overseas Solution Commerce LLC. It is licensed only to Overseas employees and personnel we authorize, for our internal business. No license is granted to any other person or company.
• Accounts. Each user must keep their credentials and two-factor authentication private. Overseas may suspend or remove access at any time.
• QuickBooks connection. The application connects only to the QuickBooks Online company of Overseas Solution Commerce LLC, with the authorization of an Overseas administrator, who may disconnect it at any time. Use of QuickBooks Online is also subject to Intuit's terms.
• Acceptable use. Users must not copy, resell, reverse engineer, or use the application for any purpose other than Overseas business, and must not enter information they are not authorized to handle.
• External links. Customers and carriers may receive secure links to upload documents or accept rate confirmations. Those links are for the named shipment only and may expire.
• No warranty. The application is provided "as is". Users must review invoices, bills and documents before sending them.
• Limitation of liability. To the extent permitted by law, Overseas is not liable for indirect or consequential damages arising from use of the application.
• Changes. We may update these terms; the effective date above will change when we do.
• Governing law. These terms are governed by the laws of the State of Texas, with venue in Webb County, Texas.
